Dan has more than a decade of experience advising both established and emerging private investment fund managers through each phase of the fundraising process, from pre-marketing through closing and beyond.

Dan has helped fund sponsors raise tens of billions of dollars for secondary, co-investment, fund-of-fund, private credit, private equity, and real estate strategies from investors worldwide through establishing separate account relationships and a wide variety of U.S. and non-U.S. private investment vehicles. Asset manager clients routinely call upon Dan to form customized vehicles to address their and their investors’ most complex investment and financing needs.  Dan has helped clients enter new markets and capture new categories of investors by creating multi-tranched open-end vehicles, rated-debt fund structures, and other innovative solutions.

Through representing leading fund-of-fund and asset manager clients, Dan will routinely advise clients in connection with secondary transactions (both GP- and LP-led), GP stake and other anchor investor transactions, equity co-investments, and investments in other third-party funds, which gives Dan a unique perspective on the current fundraising climate and market terms. 

Before joining Winston & Strawn as an associate in 2019, Dan served in senior business, legal, and compliance functions within the asset management industry, where he helped develop new products, manage government examinations, and advise in all aspects of running a private investment fund management business.  Before his in-house experience, Dan was a private investment funds associate in New York at another internationally recognized law firm.

  • Representing leading asset managers in connection with forming commingled and single investor open- and closed-end blind pools and direct investment vehicles across all asset classes. 
  • Representing state plans, private foundations, asset managers, and other institutional investors in connection with secondary transactions (both GP- and LP-led), GP stake and other anchor investor transactions, equity co-investments, and investments in separate accounts, funds-of-one, hedge funds, private equity funds, real estate funds, secondaries funds, funds of funds, and other alternative asset classes, both domestically and internationally. 
  • Representing SEC-registered investment advisers in connection with their formation and ongoing operational needs, including day-to-day regulatory and compliance matters and during regulatory examinations and civil and criminal investigations. 
  • Representing startup and emerging managers while structuring and negotiating seed and strategic investments. 
  • Representing fund management teams in connection with various internal management arrangements, including establishing employee carry vehicles, phantom equity plans, and in the course of spin-off and separation matters. 
  • Representing private equity sponsors, real estate sponsors, financial holding companies, and operating companies in connection with various transactional matters, including leveraged buy-outs, divestitures, the formation of joint ventures, and debt, equity, and hybrid investments.

Education

Dan received his J.D. from Columbia Law School, where he was a Harlan Fiske Stone Scholar and took part in the Columbia Journal of Transnational Law, and he received his B.A. from Yale University.
