Roger Lucas is a tax partner in Winston & Strawn’s Chicago office who concentrates his practice on business formations, mergers, acquisitions, divestitures, joint ventures, executive compensation, and financings.
Mr. Lucas regularly represents private equity sponsors in connection with their acquisitions and dispositions of portfolio companies. Sponsors that Mr. Lucas represents include One Equity Partners, Booth Creek Management Corporation, Baird Capital Partners, Jordan Industries, Inc., and Tricor Pacific Capital, Inc. He also represents several multinational corporations such as Smurfit-Stone Container Corporation and Motorola, Inc. in connection with their acquisitions, divestitures, and financings.
In addition to his mergers and acquisitions practice, Mr. Lucas assists sponsors with the structuring of investments in their funds. He also regularly represents a foreign-based sponsor in connection with the establishment of U.S.-based funds for foreign investors.
Education
Mr. Lucas is a 1988 graduate of the University of Michigan and a 1992 graduate of University of Michigan Law School. Mr. Lucas also received an LL.M. in Taxation in 1996 from New York University School of Law.
