The Sarbanes-Oxley Act of 2002, spawned by the Enron crisis, set new standards for all public companies and public accounting firms. Eight years later, in response to the financial crisis, the 2010 Dodd-Frank Wall Street Reform and Consumer Protection Act established what has been described as the most sweeping change in financial regulation since the Great Depression.
In this webinar, participants heard from two Winston & Strawn partners with direct and recent involvement in the watershed enforcement and regulatory actions of the past decade, as well as practical experience handling the complexities of internal investigations.
Jack Knight discussed his extensive experience with clients on the receiving end of government inquiries, and shared key strategies, tips, and minefields in the current enforcement climate. Mr. Knight drew from their experiences to help participants meet the latest requirements raised by these and other hot button issues:
- How can you conform your corporate governance practices to meet the sometimes conflicting requirements of Sarbanes-Oxley and Dodd-Frank?
- How should companies enhance their existing internal reporting requirements in response to Dodd-Frank's new whistleblower rules that include the payment of monetary awards to whistleblowers?
- What internal policies can companies implement before a whistleblower complaint is lodged to show the SEC and other enforcement agencies that they did all they could?
- What key practical steps should companies take when they receive a Wells notice, subpoena, or whistleblower complaint?
