Oscar David and Jason Osborn Speak at PLI’s Acquiring or Selling the Privately Held Company 2018

Partners Oscar David and Jason Osborn will speak at Practising Law Institute’s Acquiring or Selling the Privately Held Company 2018 in Chicago on June 6-7, 2018.

Oscar is part of the “Mock Negotiation and Analysis of Form of Acquisition Agreement” panel, which will address topics such as:

• Analysis of form of agreement and principal sections from both the buyer’s and seller’s perspectives
• Representations and warranties
• Conduct of business prior to closing
• Conditions precedent to closing
• Seller’s disclosure schedules
• Key differences between stock and assets purchase agreements
  
  

Jason will speak on the “Dealing with Financial Sponsors of Privately Held Companies” panel, which will review the key issues that arise when a private equity firm, hedge fund, sovereign wealth fund or other financial sponsor is the buyer or seller of the privately held company and include:

• Financing commitments
• Capital structure
• Management equity participation
• The effects of a finite fund life on indemnification
  
  

Oscar has extensive experience in transactions that range from middle market to complex, cross-border mergers, acquisitions, joint ventures, and corporate finance and governance matters.

Jason focuses his practice on mergers and acquisitions and private equity. He has extensive experience representing well-known financial firms in a variety of complex business transactions and business development strategies.
