Winston Advises on IJGlobal’s 2022 Deals of the Year

Winston & Strawn advised on two of IJGlobal’s 2022 Deals of the Year. The winning deals were announced at the 2022 IJGlobal Awards for North America on the evening of March 16, 2023, at Guastavino’s in New York City.
The winning deals and their respective categories are:
CLACKAMAS COUNTY CIRCUIT COURTHOUSE, OREGON
P3 Social Infrastructure – North America
Winston & Strawn represented the lenders and related interest rate swap providers in connection with a $130 million construction loan facility and an approximately $28 million term loan facility and the purchasers of approximately $119 million of privately placed secured notes, the proceeds of which will be used by Clackamas Progress Partners, LLC to pay a portion of the costs for the design, construction, financing, operations, maintenance and management services of the new Clackamas County Circuit Courthouse in Oregon City, Oregon. The new facility will consist of approximately 250,000 square feet of court-related space containing 16 courtrooms, 14 to meet current demand and two additional for projected demand growth. The new courthouse will also provide space to a variety of other public agencies, such as the Oregon Department of Human Services, Oregon Office of Public Defense Services, Clackamas County District Attorney’s Office, Clackamas County Sheriff’s Office, and Clackamas Indigent Defense Corporation. Additional surface parking will also be designed and constructed to serve the new courthouse.
GEMINI SOLAR PV & BATTERY STORAGE, NEVADA
Renewable Energy – Solar & Storage – North America
Winston & Strawn represented KeyBank, N.A. in connection with a project financing (including a construction, term, and tax equity bridge loan, and letter-of-credit facilities) of approximately $1.3B regarding the construction and operation of a 690 MWac solar and 380 MW battery storage project on federal land in Clark County, Nevada. Once constructed, the facility will be among the largest solar plants in the United States.
