Winston Advises on Winning Renewables & Energy Transition Deal for the IJInvestor Awards 2021

Winston & Strawn served as legal counsel in connection with a Renewables & Energy Transition Deal of the Year for the IJInvestor Awards 2021. 

The Renewables & Energy Transition Deal of the Year, Portfolio Deal – AMERICAS was awarded to Enel Américas’ corporate reorganization transaction, which involved (i) the US$5.2 billion merger of the non-conventional renewable energy businesses of Enel S.p.A. in Latin America (other than Chile)  held by EGP Américas SpA into Enel Américas S.A. and (ii) an approximately US$1.5 billion dual U.S. and Chilean tender offer by Enel S.p.A. for up to 10% of the then-outstanding shares (including shares represented by American Depositary Receipts (ADRs)) of Enel Américas. Enel S.p.A. is the Italian parent company of Enel Américas S.A., which is headquartered in Chile. The transaction consolidated the non-conventional renewable energy businesses of Enel S.p.A. in Argentina, Brazil, Colombia, Costa Rica, Guatemala, Panama, and Peru under Enel Américas S.A.  The Winston team acted as U.S. legal advisors to the Enel companies throughout the transaction, from structuring through implementation. Winston corporate partner Sey-Hyo Lee advised on U.S. legal matters, with the assistance of tax associate Justin Trapp. The Winston team worked closely on the transaction with Giulio Fazio, Enel S.p.A.’s General Counsel, Rodolfo Avogadro Di Vigliano, Head of M&A Legal and Group Significant Litigations, Alessandro Lomoro, and Giuseppe Ciccarelli of the Enel S.p.A.
