Winston & Strawn Partner Jason Osborn—who focuses his practice on M&A, private equity, and SPAC transactions—shared his insights on the SEC’s newly proposed SPAC rules in International Financing Review.
Sponsors, underwriters, and investors are proceeding with caution as they examine a proposal from the SEC to regulate special purpose acquisition companies according to a new set of rules.
One of the regulatory body’s proposed rules seeks to curb the use of forward earnings projections in the marketing of a SPAC merger.
“In treating ‘like things alike,’ I think the SEC is missing the bigger picture. SPACs became popular because something was wrong with the traditional IPO process,” Jason said, adding that “one of the reasons was that growth companies are more likely to use forward projections in connection with a de-SPAC.”
