Ed is head of Winston’s London tax department and supports our domestic and cross-border corporate and finance practice. He focuses his practice on the tax aspects of corporate finance transactions and structures, including mergers and acquisitions of public and private companies.

Ed’s experience includes representing:
- Toridoll Holding Corporation in partnership with Capdesia Group for the entire issued share capital in The Fulham Shore PLC.
- SunCap a UK based private equity house on its acquisition of Adventure Forest, trading as “Go-Ape” in the US.
- Alkuri Global Acquisition Corp. (NASDAQ: KURI, KURIU and KURIW), a special purpose acquisition company, in connection with its business combination with Babylon Holdings Limited one of the world's fastest-growing digital healthcare companies.
- Sentry Centers Holdings (dba Convene) in connection with its acquisition of UK-based peer etc. venues.
- Industrial Opportunity Partners, an operations-focused private equity firm, in its investment to support the recapitalization of Brewster Home Fashions LLC and Fine Decor Wallcoverings Ltd.
- Financials Acquisition Corp, a special purpose acquisition company, on its £150m IPO on the London Stock Exchange.
- A NYSE listed special purpose acquisition company Broadstone Acquisition Corp. on its $2.2bn business combination with Vertical Aerospace Ltd.
- Cycle Pharmaceuticals in connection with a pre-IPO financing by Deutsche Bank, including the issue of warrants. The instruction included advising on a group reorganisation to optimise the financing whilst maintaining future flexibility.
- Motorola Solutions on its take-private of publicly listed UK based video security firm, IndigoVision.
- Hudson Hill Capital in the acquisition of a majority stake in InXpress Holdings Ltd, in partnership with the company’s senior management team.
- Morningstar, Inc. in the acquisition of DBRS, the world's fourth largest credit ratings agency, for a purchase price of US$669 million.
