Brendan A. Donahue

Brendan advises buyers, sellers, and investors on mergers and acquisitions, carve-outs, divestitures, joint ventures, and private capital raising transactions, including minority equity investments and convertible note financings. He has worked across industries with deal experience spanning the software and technology, medical device, consumer products, and industrials and manufacturing sectors.

Brendan has represented publicly traded strategics, private equity sponsors and their portfolio companies, and closely held businesses, as well as founders and high-net-worth investors, in some of their most complex and challenging transactions. He has also counseled non-profit organizations and small businesses on matters such as formation, corporate governance, contract negotiation, and tax exemptions on a pro bono basis.

Prior to joining Winston & Strawn, Brendan practiced in the Corporate and M&A group of a major law firm where he advised a mix of public company and private equity clients. He also served as in-house counsel to a leading medical technology company where he completed public and private target acquisitions, divestitures, joint ventures, and corporate venture capital investments.

Brendan worked in Information Technology at a manufacturing company before beginning his legal career.
