Nikolai concentrates his practice on securities and mergers and acquisitions transactions for both public and private companies.
Nikolai has extensive experience representing foreign and domestic private and public companies and financial institutions in connection with: public offerings; mergers; asset acquisitions and dispositions; acquisition financing; cross-border transactions; exchange offers; friendly and hostile tender offers; private placements of equity and debt securities; shareholders and employment relationships; workouts and restructurings, both in and out of bankruptcy; and credit facilities. He also counsels foreign and domestic private and public companies and financial institutions and their directors and officers in connection with reporting and other securities compliance and corporate governance matters, including directors and officers responsibilities and liabilities under securities laws.

Education
Nikolai received a J.D., summa cum laude, in 1980 and a J.S.D. in 1983, both from Moscow University. He received a J.D. from Yale Law School in 1994 where he was senior editor of the Yale Journal of International Law.
