TreeHouse Foods's US$85M Ready-to-Eat Cereal Business Sale to Post Holding, Inc.
Winston & Strawn LLP represented TreeHouse Foods (NYSE: THS), leading manufacturer and distributor of private-label packaged foods and beverages in North America, in its definitive agreement and completed sale of its ready-to-eat (RTE) cereal business to Post Holdings, Inc. (NYSE: POST) for a purchase price of US$85M. As part of the terms of the transaction, Post will acquire the entirety of the RTE business based in St. Louis, Missouri, which includes two manufacturing plants in Lancaster, Ohio and Sparks, Nevada, and a research and development facility in Sauget, Illinois. Post is a Missouri-based consumer packaged goods holding company operating in the center-of-the-store, refrigerated, food service, food ingredient, and convenient nutrition food categories. Its businesses include Post Consumer Brands, Weetabix, Michael Foods, Bob Evans Farms, and BellRing Brands.

Beam Suntory Inc.'s Acquisition of On The Rocks Premium Cocktails
Winston & Strawn LLP represented Beam Suntory Inc., a global leader in premium spirits based in Illinois, in its acquisition of On The Rocks Premium Cocktails, a rapidly growing premium ready-to-drink cocktail brand distributed primarily in the United States and Canada. Beam Suntory previously owned a minority interest in On The Rocks, which features Beam Suntory’s brands in its range of premium spirits-based pre-mixed cocktails. Among the brand’s signature cocktail products are the Knob Creek® Old Fashioned, Hornitos® Margarita, EFFEN® Cosmopolitan, and Cruzan® Mai Tai. Located in Texas, On The Rocks Cocktails was founded in 2015 when restauranteurs Patrick Halbert and Rocco Milano, left the world of fine dining and embarked upon creating a line of craft-made bottled cocktails.
