Jacob Tabman

Jacob is a member of the Firm’s corporate and capital markets practice groups. He regularly counsels public and private companies on strategic transactions, capital markets offerings, and general corporate and securities law matters. Jacob’s capital markets experience includes the representation of both foreign and domestic issuers and underwriters in a myriad of public and private offerings of equity and debt, including initial public offerings (IPOs), SPAC IPOs, follow-on offerings, registered direct offerings, at-the-market offerings, private placements, bond offerings and debt tender offers.  Jacob also has experience guiding acquirers and targets in connection with SPAC business combinations.

Jacob counsels public company clients on ‘33 Act compliance and ongoing ‘34 Act reporting obligations as well as relevant stock exchange rules and standards. He regularly reviews and prepares registration statements, proxy statements and period reports.
