Prime Number Acquisition I Corp. Closes IPO
Winston & Strawn LLP represented the underwriter in connection with Prime Number Acquisition I Corp. (the Company), a newly organized blank check company incorporated in Delaware and led by Chairman and CEO Dongfeng Wang, in the closing of its previously announced IPO of 6,450,000 units at an offering price of US$10.00 per unit, which includes 450,000 units issued pursuant to the partial exercise of the underwriter's over-allotment option, for aggregate gross proceeds to the Company of US$64.5M. Each unit consists of one share of Class A Common Stock, one-half of one redeemable warrant, and one right. Each whole warrant entitles the holder thereof to purchase one share of Class A Common Stock, and each eight rights entitle the holder thereof to receive one share of Class A Common Stock upon consummation of an initial business combination. The exercise price of the warrants is US$11.50 per full share. The units began trading on the Nasdaq Global Market (NASDAQ) under the ticker symbol "PNACU" on May 13, 2022. Once the securities comprising the units begin separate trading, the Class A Common Stock, warrants, and rights are expected to be traded on NASDAQ under the symbols "PNAC," "PNACW," and "PNACR," respectively. No fractional warrants will be issued upon separation of the units and only whole warrants will be traded.

WaterBridge Strategic Acquisition of Produced Water Assets in the Delaware Basin
Winston & Strawn LLP represented WaterBridge Holdings LLC (together with its subsidiaries, "WaterBridge") in connection with its acquisition from Colgate Energy, LLC of the produced water infrastructure associated with Colgate’s recent asset acquisition from Oxy. The assets include 10 water handling facilities and associated water midstream infrastructure with aggregate handling capacity of approximately 100,000 bpd and approximately 50 miles of produced water pipelines. In addition, WaterBridge and Colgate have entered into a new 15-year produced water management agreement for all Colgate’s operated acreage within a significantly expanded Area of Mutual Interest in Reeves and Ward Counties, Texas. After this transaction, Colgate will have over 86,100 gross operated acres dedicated to WaterBridge in the southern Delaware Basin.

District Court Awards Enhanced Damages to Winner in ITC Dispute
The District of Delaware has recently highlighted the availability of enhanced damages for patent owners who choose to proceed first at the U.S. International Trade Commission (ITC). Even though ITC decisions are not binding on district courts, Judge Wolson awarded enhanced damages to a plaintiff after the defendant lost a parallel ITC case and brought its production into the U.S. to avoid the ITC’s exclusion order. Wirtgen America, Inc. v. Caterpillar, Inc., No. 1:17-cv-00770-JDW, Dkt. No. 456, Mem. Op. at 24–25, 45–46 (D. Del. Sept. 17, 2024) (hereinafter, “Mem. Op.”). Similarly situated defendants in future actions may expect the same fate if they choose to onshore their supply chain without implementing a design-around.
