Bill O’Neil Discusses Overhaul of Delaware’s Corporate Law with Bloomberg Law
Winston & Strawn partner Bill O’Neil was quoted in a Bloomberg Law article discussing a newly passed bill that reforms Delaware’s corporate laws. The legislation could make it more difficult for shareholders to win lawsuits against companies and executives by lowering the legal standards for approving insider deals involving controlling shareholders and for granting substantial compensation packages to founders. The bill, which passed Delaware’s House of Representatives and signed into law by the governor on Tuesday, March 25, comes after growing criticism that the state’s corporate law has become obstructive.

Texas Bill Introduced to Require Notification of Health Care Transactions
On February 12, 2025, Texas House Bill 2747 was introduced, requiring health care entities to notify the Texas Attorney General of certain transactions at least 90 days before completion. This bill aims to increase transparency in health care transactions, including mergers, sales or acquisitions, and governance changes, with penalties for non-compliance. If passed, it will significantly impact health care transactions in Texas.

Export controls are a set of laws and regulations that govern the physical or electronic movement, transfer, or brokering of commodities, tooling, equipment, materials, software, technology, data, and services (collectively, “Items”), worldwide, to jurisdictions outside of a given country (example: non-U.S. jurisdictions), persons (individuals or entities) who are not a part of a given country (example: non-U.S. persons), and for prohibited end-uses. The term “export controls” can be misleading as export controls, particularly United States export controls, are extraterritorial and therefore apply also to reexports and transfers exclusively among and within non-U.S. jurisdictions.

Imports are goods that enter the customs territory of a given country after having been exported from a foreign destination. Imports and exports together represent foundational aspects of international trade. Therefore, they are often subject to trade agreements between jurisdictions, trade remedies that increase the cost of importing goods, and more cross-border considerations. In addition, countries may impose customs duties and/or tariffs, in other words taxes, on goods that enter the customs territory of a given country. Imports are fundamental to international trade and commerce. As such, legal issues arising from imports may implicate foreign policy, regulatory compliance, and cross-border transactions.
