Co-Chair of Winston’s Asset-Based Lending Practice, Jason focuses his practice on debt financing and various other corporate finance transactions, with an emphasis on asset-based and cash flow lending.
Jason focuses his practice on debt financing and other corporate finance transactions, with an emphasis on asset-based and cash flow lending. He represents banks and other financial institutions on financings involving acquisitions, recapitalizations, multicurrency facilities, foreign collateral, and split lien, first/second lien, mezzanine, and bank/bond structures. He has significant experience in a wide array of industries, including: transportation and logistics; manufacturing and distribution; waste disposal; food and beverage; oil and gas; maritime; and alcohol, tobacco, and firearms. While he often represents administrative agents in connection with syndicated credit facilities, Jason also has experience advising non-bank financial institutions, equity sponsors, and corporate borrowers on debt capital markets transactions. In addition, he has experience representing lenders and borrowers in connection with debtor-in-possession, workouts, and restructurings of distressed credit facilities.
Jason worked as an engineer for Exxon Mobil from 1997–2001, prior to attending law school.
Jason was named on Lawdragon’s 2025 500 Leading Dealmakers in America list and has been recognized by The Legal 500 US as a “Key Lawyer” in the area of Finance: Commercial Lending in the 2020–2021 and 2023–2024 editions. He has been recognized in Banking and Finance Law by The Best Lawyers in America®since 2021.

Jason received a B.S. in Mechanical Engineering, with highest honors, in 1997 from North Carolina State University, and a J.D. in 2004, with honors, from The University of Texas School of Law, where he served with the Texas Journal of Business Law.
