- Representation of CSL Capital Management, in a number of transactions, including:
- the acquisition of the well services, well workover, fluid management, well completions and snubbing operations and related equipment rental operations of Bayou Workover Services, LLC and Bayou Well Services, LLC;
- the acquisition, out of a receivership, of multiple water management businesses;
- the disposition of Independence Oilfield Chemicals, LLC to Innospec, Inc.;
- the sale of the water treatment and recycling division of Fountain Quail Energy Services, LLC to XRI Holdings, LLC;
- representation of Sentinel Energy Services, a portfolio company of CSL Capital Management, LP and a special purpose acquisition, in connection with multiple proposed acquisitions;
- representation of High Roller Sand, a joint venture of CSL Capital Management, LP and other oil and gas investors, in the sale of its state-of-the-art hydraulic fracturing sand mine, located in Winkler County, Texas to Schlumberger;
- representation of CSL Capital Management in connection with its recapitalization of BJ Energy Solutions;
- representation of CSL Ventures, the venture capital arm of CSL Capital Management, LP, in its Series A investment in REDLIST; and
- the structuring, formation, and day-to-day representation of various portfolio companies.
- Representation of Transition Capital Partners in its acquisition and disposition of various portfolio companies and financing transactions, including:
- the acquisition of Hayes Software Systems, an Austin, Texas-based provider of education software and its subsequent disposition to Frontline Education, a Thoma Bravo portfolio company;
- the acquisition of SuccessEd, a leading provider of education regulatory compliance software;
- representation of PostUp Digital, an Austin-based digital marketing software provider and portfolio company of Dallas private equity sponsor Transition Capital Partners, in connection with its sale to Upland Software;
- representation of Highstreet IT Solutions, a Maryland-based information technology services provider and portfolio company of Dallas private equity sponsor Transition Capital Partners, in the sale of its Highstreet Network Solutions division to Axispoint Technology Solutions Group; and
- representation of Hospice Source, a Dallas-based durable medical equipment provider and portfolio company of Transition Capital Partners, in its acquisition of more than ten acquisitions of DME assets.
- Representation of NextGen Growth Partners in connection with numerous acquisition and financing transactions, including its acquisitions of Record Connect and Sunrise Landscape.
- Representation of Miramar Equity Partners in connection with numerous acquisition and equity and debt financing transactions.
- Representation of PEAG, LLC in connection with the sale of JLab Audio to Noritsu Koki Co. Ltd. for US$370M.
- Representation of Argenta Partners in connection with multiple investment transactions, including its acquisition of Sonic Connectors, a leading manufacturer and installer of wellhead solutions for the oil and gas industry.
- Representation of FABco, a leading provider of concrete construction materials and supplies including engineered steel rebar and associated construction products, in connection with its sale to Argonaut Private Equity.
- Representation of TRC Companies, a leading provider of end-to-end engineering, consulting and construction management services in connection with multiple acquisition and disposition transactions.
- Representation of numerous public and private companies and family offices in connection with mergers and acquisitions and investment transactions.
